Articles of Association

Article I - Name

The name of this organization shall be Show Me Libraries.

Article II - Organization and Purpose

Show Me Libraries is a nonprofit, unincorporated, voluntary, multi-partisan political action committee organized for the purpose of advancing public library service in Missouri.

In carrying out this stated purpose, Show Me Libraries shall encourage all librarians and public library supporters to exercise their basic political rights, shall select and support candidates and nominees for public office without regard to party affiliation, and shall encourage the people of Missouri to vote on measures submitted to the people according to the needs of Missouri public libraries.

Article III - Office

The principal office and place of business of Show Me Libraries shall be located in the city in which the Treasurer resides.

Article IV - Trustees

The governing body of the Committee shall be the Board of Trustees composed of fifteen (15) members elected to three year terms. The initial Trustees shall be appointed for staggered terms of one, two, and three year terms. The Trustees are empowered to set basic policies with respect to expenditures to be made by the Committee, and to direct disbursements to specific candidates. The Trustees shall determine the procedures for collection and distribution of funds to the candidates and political committees that the Committee shall support and the amount of all expenditures and disbursements by the Committee.

A quorum of the Board of Trustees shall consist of a simple majority of the members of the Board.

Article V - Officers

Section 1. The officers of Show Me Libraries shall be the Chairman and the Treasurer.

Section 2. The Chairman and the Treasurer of the Committee shall be elected annually from among their members by the Board of Trustees. The dates of the elections and the procedures governing them may be determined by the Trustees.

Section 3. Subject to the determinations of the Board of Trustees, the Chairman shall administer and have general and active management and supervision of all the affairs of the Committee. The Chairman shall preside at all Committee meetings and meetings of the Board.

Section 4. The Treasurer shall be the chief financial officer of the Committee, shall keep the financial and other records of the Committee, shall comply with all applicable requirements required by law, and shall perform such other duties as may be assigned by the Chairman or Board of Trustees.

Section 5. The Trustees may appoint a Vice-Chairman and Assistant Treasurer to succeed to the offices of Chairman and Treasurer in the event of a vacancy in either of those offices. Should a vacancy occur in the office of Chairman or Treasurer, the Trustees shall immediately elect a successor to serve until the next regular annual election of officers.

Article VI - Responsibilities and Duties of the Board of Trustees

The Board of Trustees shall have final authority to conduct the affairs and operations of Show Me Libraries to promulgate rules, regulations, and procedures for the interviewing and endorsement of political candidates, to determine which candidates and/or measures shall receive monetary support of Show Me Libraries and in what amounts, and to appoint committees of an advisory nature as shall be thought necessary to carry out the purposes prescribed by law and perform any other functions deemed necessary for successful action.

Article VII - Meetings

There shall be an annual meeting of Show-Me Libraries - occurring in-person, online, or by phone conference - and as many additional meetings as the Board of Trustees deems necessary, at such times and by such means as shall be determined. The Board of Trustees will communicate as necessary by electronic mailing list.

Article VIII - Voting

The Board Of Trustees may vote in-person, by email or by other electronic means.

Article IX - Finances

The Board of Trustees of Show Me Libraries shall cause to be deposited in a bank account all funds donated by persons authorized by law to contribute money or other things of value to political action committees.

The Board of Trustees shall require such bonds and audits as in its judgment may be necessary to protect the funds of the organization and shall cause to be filed any and all reports required by law.

The Board of Trustees may hire employees or contract for the services of such persons as in its judgment may be necessary to carry out the purposes of Show Me Libraries.

Article X - Rules of Order

Any areas not specifically covered in these Articles of Association shall be governed by the provisions in ROBERT'S RULES OF ORDER, REVISED.
